KAREFORCE, LLC
CAREGIVER TERMS & CONDITIONS
Revised September 27, 2026
These Caregiver Terms and Conditions (“Terms”) are incorporated into and part of the Onboarding Registration on the Kareforce App executed by Kareforce, LLC (“Kareforce”) and the individual identified therein (“Caregiver”). Together, these Terms constitute the “Agreement.” In the event of a conflict, the Onboarding Registration shall control with respect to the agreed fees and other expressly stated commercial terms.
1. SERVICES
1.1 Scope of Services. Kareforce provides a technology platform designed to connect caregivers, participating agencies and individuals or families seeking caregiving services (“Clients”). Caregiver may register independently to seek additional work opportunities, including Community Habilitation assignments. Kareforce provides access to its platform, matching functionality and any separately purchased support services.
1.2 Registration and Screening. Kareforce shall facilitate Caregiver’s registration, collect the information necessary to establish Caregiver’s professional profile, purchase and provide the initial background screening service, and make Caregiver’s profile available for matching, subject to completion of applicable registration and screening requirements.
1.3 Matching Services. Kareforce may identify potential opportunities based upon Caregiver’s qualifications, location, travel preferences, availability and other relevant information. Kareforce does not guarantee employment, assignments, compensation or successful matches. No separate matching fee or commission shall be charged.
1.4 No Employment Relationship. Kareforce does not hire, employ, supervise, compensate or terminate caregivers. Registration does not create an employment or independent contractor relationship between Kareforce and Caregiver. Any employment or service arrangement shall be established separately between Caregiver and the applicable agency or engaging party.
2. CAREGIVER RESPONSIBILITIES
2.1 Accurate Information. Caregiver shall provide accurate, complete and current information concerning their identity, qualifications, certifications, professional experience and other information relevant to potential assignments.
2.2 Location and Availability. Caregiver shall accurately identify their primary service location, maximum travel distance, available days and hours, and scheduling restrictions. Caregiver shall promptly update this information whenever material changes occur.
2.3 Professional Qualifications. Caregiver is responsible for maintaining all qualifications, licenses, certifications, training and other requirements applicable to any services they agree to provide. Each participating agency remains responsible for independently determining whether Caregiver satisfies its requirements.
2.4 Screening Cooperation. Caregiver shall provide accurate information and reasonably cooperate with authorized background screening. Caregiver acknowledges that completing screening does not guarantee eligibility for any particular assignment.
2.5 Independent Decisions. Caregiver may accept or decline opportunities and may seek work through other agencies or platforms. Kareforce does not establish Caregiver’s compensation, work schedule or employment conditions.
3. FEES AND PAYMENT
3.1 Initial Screening Fee. Caregiver shall pay Kareforce a one-time fee of $199 for the initial background screening service. Payment is due before screening is ordered.
3.2 Screening Process. Kareforce shall purchase and provide the initial background screening service through a screening provider. Screening shall be conducted only after Kareforce obtains the disclosures and authorizations required by applicable law. Where required, such disclosures and authorizations shall be provided separately from this Agreement.
3.3 Screening Results. Kareforce may provide Caregiver with their screening results and may make screening information available to participating agencies only when authorized and legally permitted. Kareforce does not guarantee that any participating agency will accept the results or that Caregiver will qualify for a particular assignment.
3.4 No Subscription or Matching Fees. Caregiver shall not be charged a recurring subscription fee or any separate fee or commission for matching.
3.5 Optional Support Services. Kareforce may offer additional administrative or support services. Such services are optional and shall be charged only upon Caregiver’s separate agreement to the applicable service and fee.
3.6 Additional Screening. Any subsequent screening requested by Caregiver or required for a particular opportunity shall be separately disclosed and authorized. Any additional fee payable to Kareforce must be agreed upon before the additional screening is ordered.
4. TERM AND TERMINATION
4.1 Term. This Agreement shall commence upon execution and continue until terminated in accordance with this Section.
4.2 Termination by Caregiver. Caregiver may terminate this Agreement at any time by providing written notice to Kareforce.
4.3 Termination by Kareforce. Kareforce may terminate this Agreement upon written notice or immediately suspend Caregiver’s access when reasonably necessary to address suspected fraud, material violations of these Terms, unlawful conduct or security concerns.
4.4 Effect of Termination. Upon termination, Kareforce may deactivate Caregiver’s profile and discontinue matching services. Kareforce may retain information as required or permitted by applicable law and its Privacy Policy. Termination shall not affect accrued payment obligations or provisions intended to survive termination.
5. PLATFORM ACCESS AND INTELLECTUAL PROPERTY
5.1 Limited License. Kareforce grants Caregiver a limited, nonexclusive, nontransferable right to access and use its software platform during the term of the Agreement solely for Caregiver’s personal use in seeking caregiving opportunities.
5.2 Ownership. Kareforce retains all ownership rights in its platform, software, technology, trademarks, branding, proprietary processes and related intellectual property. Caregiver retains ownership of the information and materials it submits, subject to applicable law and the rights of the individuals.
5.3 Use of Submitted Information. Caregiver grants Kareforce a limited, nonexclusive, royalty-free license to access, process, store, reproduce, display and share submitted information solely as reasonably necessary to operate the platform, facilitate matching and provide its services, subject to applicable law and Kareforce’s Privacy Policy. Kareforce shall not use Caregiver’s information for unrelated advertising or promotional purposes without appropriate authorization.
5.4 Restrictions. Caregiver shall not reproduce, resell, sublicense, reverse engineer or commercially exploit Kareforce’s software or proprietary technology without Kareforce’s prior written consent, except as permitted by applicable law.
6. CONFIDENTIALITY, PRIVACY AND SECURITY
6.1 Confidentiality. Caregiver shall maintain the confidentiality of nonpublic information concerning participating agencies, Clients, families and other individuals obtained through the platform. Such information shall be used solely for authorized purposes.
6.2 Privacy Policy. Kareforce shall collect, use, maintain and disclose Caregiver’s personal information in accordance with its Privacy Policy and applicable law.
6.3 Profile Sharing. Caregiver authorizes Kareforce to make their professional profile, qualifications, location, travel preferences and availability accessible to participating agencies and other authorized users for matching purposes, subject to applicable law and Caregiver’s privacy settings.
6.4 Background Screening Information. Kareforce shall obtain and handle background screening reports in accordance with applicable law. Screening reports shall be disclosed to participating agencies only where Kareforce has an applicable lawful basis and has obtained any required authorization. Caregiver shall have access to their screening information and applicable dispute procedures as required by law.
6.5 Account Security. Caregiver shall maintain the confidentiality of their login credentials and promptly notify Kareforce of suspected unauthorized access or security incidents affecting their account.
6.6 Survival. Caregiver’s confidentiality obligations shall survive termination for as long as the applicable information remains confidential or otherwise protected by law.
7. REPRESENTATIONS AND WARRANTIES
Caregiver represents that they have the legal authority to enter into this Agreement and that all information submitted to Kareforce is accurate and complete. Caregiver is responsible for maintaining all qualifications, certifications and authorizations required for the services they agree to provide. Kareforce does not guarantee employment, assignments, successful matches, compensation, uninterrupted platform availability or the accuracy of information submitted by third parties. To the maximum extent permitted by applicable law, all other express and implied warranties are disclaimed.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Kareforce, its members, managers, officers, employees and agents shall not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to the Agreement or the Services, including lost profits, lost business opportunities or loss of data. Unless otherwise agreed in writing, Kareforce’s total aggregate liability arising from or relating to the Agreement or the Services shall not exceed One Thousand Dollars ($1,000). Nothing in the Agreement shall limit liability to the extent such limitation is prohibited by applicable law.
9. INDEMNIFICATION
To the maximum extent permitted by applicable law, Caregiver shall defend, indemnify and hold harmless Kareforce and its members, managers, officers, employees and agents against third-party claims, damages, liabilities and reasonable legal expenses arising from Caregiver’s unlawful conduct, material breach of this Agreement, infringement of another person’s rights or negligence in performing caregiving services. This obligation shall not apply to the extent a claim results from Kareforce’s own negligence, misconduct or breach of its legal obligations.
10. WEBSITE TERMS AND PRIVACY POLICY
Caregiver acknowledges that Kareforce maintains separate Website Terms of Use and a Privacy Policy, available through its website. Caregiver agrees to comply with the Website Terms of Use to the extent applicable to its use of Kareforce’s public website. The Privacy Policy describes Kareforce’s collection, use, maintenance and disclosure of personal information. In the event of any conflict between these Caregiver Terms and Conditions and the Website Terms of Use, these Caregiver Terms and Conditions shall control with respect to Caregiver’s contractual relationship with Kareforce.
11. GOVERNING LAW AND EXCLUSIVE JURISDICTION
The Agreement shall be governed by the laws of the State of New York, without regard to its conflict of laws principles. To the extent permitted by applicable law, any lawsuit brought against Kareforce arising from or relating to the Agreement or the Services shall be commenced exclusively in the Supreme Court of the State of New York, Suffolk County. Caregiver consents to that court’s personal jurisdiction and waives objections to venue to the extent permitted by law.
12. GENERAL PROVISIONS
12.1 No Employment Relationship. Nothing in this Agreement creates an employment, independent contractor, partnership or agency relationship between Kareforce and Caregiver. Kareforce facilitates matching but does not employ, supervise or compensate Caregiver.
12.2 Entire Agreement. The Onboarding Form and these Caregiver Terms and Conditions constitute the entire agreement between the Parties concerning the Services, together with any separate written agreement expressly incorporated by reference.
12.3 Amendments. Any amendment to the Agreement must be in writing and agreed upon by both Parties, except for changes expressly permitted under these Terms.
12.4 Assignment. Caregiver may not assign the Agreement without Kareforce’s prior written consent. Kareforce may assign the Agreement in connection with a merger, acquisition or sale of substantially all of its business or assets, provided its successor assumes Kareforce’s obligations.
12.5 Severability. If any provision is determined to be unenforceable, the remaining provisions shall remain effective to the extent permitted by law.
12.6 Waiver. Failure to enforce any provision shall not constitute a waiver of the right to enforce it subsequently.
12.7 Force Majeure. Neither Party shall be responsible for delays or failures caused by circumstances beyond its reasonable control, except for accrued payment obligations.
12.8 Electronic Signatures. The Onboarding Form may be executed electronically and in counterparts, each of which shall be deemed an original.
12.9 Notices. Notices required under the Agreement shall be delivered by email or another agreed written method to the designated contacts identified in the Onboarding Form. Notices shall be effective upon confirmed delivery, excluding automated delivery-failure notices.
12.10 Survival. Provisions concerning accrued payment obligations, confidentiality, intellectual property, limitations of liability, indemnification, governing law and dispute resolution shall survive expiration or termination to the extent applicable.
